Additional Information
These terms and conditions ("Agreement") outline the conditions under which investors may initiate the redemption of their investments from the fund ("Fund") managed by Phoenix Capital Management International, subject to a notice period of three months. Failure to adhere to the notice period will result in an automatic rollover of the investment. By participating in the Fund, investors agree to these terms and conditions.
1. Redemption Notice:
Investors who intend to redeem their investments from the Fund are required to submit a written notice at least three months prior to the end of the current calendar year. The notice should clearly state the investor's intention to redeem a specific amount or percentage of their investment.
2. Notice Submission:
Redemption notices must be submitted in writing to the Fund Manager or any designated representative via certified mail, email, or any other acceptable form of communication. The date of receipt of the notice will determine the fulfillment of the notice period requirement.
3. Rollover Clause:
If an investor fails to provide the required three-month notice before the end of the calendar year, the redemption request will be deemed invalid for the current year. The investment amount will automatically rollover and remain invested in the Fund for the subsequent year.
4. Redemption Process:
Upon receiving a valid redemption notice, the Fund Manager will initiate the redemption process. The redemption amount, as specified in the notice, will be calculated based on the Net Asset Value (NAV) of the Fund as of the redemption date. The redemption proceeds will be paid to the investor's designated account within a reasonable time frame.
5. NAV Calculation:
The NAV for the purpose of calculating redemption proceeds will be determined based on the most recent valuation of the Fund's assets, as determined by the Fund Manager.
6. Suspension of Redemptions:
The Fund Manager reserves the right to suspend redemptions temporarily or partially in the event of extraordinary market conditions, regulatory restrictions, or other unforeseen circumstances that may impact the liquidity of the Fund.
7. Applicable Fees:
Redemption may be subject to applicable fees or charges as outlined in the Fund's offering documents or prospectus. These charges may be deducted from the redemption proceeds.
8. Amendment of Terms:
The Fund Manager reserves the right to amend or modify these terms and conditions with prior notice to investors. Such changes will be communicated through the Fund's official communication channels.
9. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of non us residents , and any disputes arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in non us residents.
By submitting a redemption notice, investors acknowledge that they have read, understood, and agreed to these terms and conditions. This Agreement supersedes any previous agreements or understandings between the investor and the Fund Manager regarding redemption procedures.
Effective Date: January 18, 2023
Phoenix Capital Management International reserves the right to interpret, modify, or terminate this Agreement as necessary and in compliance with applicable laws and regulations.

It is your responsibility to review these terms regularly to stay informed of any changes. The Company may choose to communicate significant changes to the terms via notifications or announcements on our website or through other means, but this is not guaranteed.
